Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Michael Prime Services ("Company," "we," "us," or "our"), concerning your access to and use of the https://store.mpsev.com website and the Primeventory platform (collectively, the "Site" and "Services").
You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and must discontinue use immediately.
Use of the Services
We provide a business software as a service (SaaS) platform for enterprise management. As a user, you agree to the following acceptable use rules:
You Agree To:
- Provide true, accurate, and current information.
- Maintain the confidentiality of your passwords.
- Be solely responsible for all activities under your account.
You Will Not:
- Use the Services for any illegal or unauthorized purpose.
- Interfere with or disrupt the network or security infrastructure.
- Attempt to reverse engineer the Primeventory software.
Subscription, Trial Evaluation & Expiration
61-Days Full Access Evaluation Phase: We offer new operators a fully operational, completely unrestricted 61-day evaluation period to test the utility, dashboard accuracy, AI predictors, and multi-branch tools of Primeventory. No financial commitments are required during this verification window.
Plan Expiration & Paid Continuity: Immediately upon the closure of the 61st day, your evaluation tier will expire automatically and access to operational platform modifications will lock. To restore continuity, operators must manually navigate to the internal configuration terminal, select their preferred subscription tier (Standard or Premium), and execute the payment workflow.
Strict No-Refund Policy
ALL TRANSACTIONS ARE FINAL — WE DO NOT REFUND
Because Michael Prime Services provides a highly comprehensive, fully unrestricted 61-day period to rigorously test and evaluate the entire framework of Primeventory prior to making payments, **we enforce a strict, absolute NO-REFUND policy.**
- No Money-Back Terms: Once any commercial payment (monthly, quarterly, or annualized billing) is successfully executed through our linked gateways, the payment is final, non-reversible, and entirely non-refundable.
- No Pro-Rata Credits: If an operator decides to abandon or stop using Primeventory mid-cycle, no partial returns, credits, or prorated offsets will be calculated or paid out.
- Cancellation Mechanics: You may toggle off recurring billing renewals within your corporate console at any point. Access will persist cleanly up until the exact day your paid duration expires, at which point renewal billing halts.
Intellectual Property Rights
Unless otherwise indicated, the Site and the Primeventory platform are our proprietary property. All source code, databases, functionality, software, website designs, text, and graphics on the Site (collectively, the "Content") are owned or controlled by Michael Prime Services and are protected by copyright and trademark laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the platform strictly for your internal business operations. You retain full intellectual property ownership of the raw data (inventory lists, customer details) you upload to the platform.
Limitation of Liability
The Service is provided on an "as-is" and "as-available" basis. Michael Prime Services makes no warranties regarding the accuracy, reliability, or completeness of the platform's AI predictions, which should be used as advisory tools only.
To the fullest extent permitted by law, Michael Prime Services shall not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or platform.
Governing Law
These Terms shall be governed by and defined following the laws of Nigeria. Michael Prime Services and yourself irrevocably consent that the courts of Nigeria shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
